Welcome to Curalink ("we," "us," "our"). These Terms of Service ("Terms") govern your access to and use of our website and inquiry services for medical equipment procurement (collectively, the "Services"). By accessing our website or submitting an inquiry, you agree to be bound by these Terms.
If you do not agree to these Terms, please do not use our Services. These Terms constitute a legally binding agreement between you and Curalink.
Curalink provides factory-direct sourcing coordination: factory identification and audit, order placement and export coordination from China, Bangladesh import licensing and customs clearance management, and port release coordination. We act as your procurement coordinator, not as a manufacturer or distributor.
All equipment specifications, certifications, and compliance documentation are provided by our factory partners. Curalink verifies documentation but does not manufacture equipment. Clients are responsible for confirming equipment suitability for their specific clinical requirements and Bangladesh regulatory compliance.
Inquiries submitted through our website are reviewed by our procurement team. We provide factory-direct quotations with transparent cost breakdown. Formal orders require confirmed purchase order and applicable deposits. Lead times are estimates based on factory production schedules and Bangladesh import processing. Curalink is not liable for delays caused by force majeure, regulatory holds, factory disruptions, or customs processing.
Prices are quoted in USD unless otherwise specified. Quotations are valid for 30 days. Our transparent pricing includes: factory price + freight/insurance + Bangladesh import duties & taxes + Curalink service fee. Final-mile delivery from port to facility is additional unless explicitly included in the quotation.
Standard terms: 50% deposit upon order confirmation, 50% prior to shipment from China. Established clients with approved credit history may qualify for alternative terms. Late payments incur 1.5% monthly interest. Payments are non-refundable once factory production has commenced. All payments are made to Curalink; we handle factory and logistics payments on your behalf.
All factory partners are required to hold relevant international certifications (ISO 13485 for medical devices, ISO 9001 baseline). We conduct on-site audits before engagement and verify certifications. Curalink does not hold manufacturing certifications — our factories do.
Every shipment includes manufacturer Certificate of Authenticity, batch traceability, and applicable export certifications (CE, FDA, NMPA). Curalink reviews documentation but does not perform laboratory testing unless specifically requested and agreed.
Clients are responsible for ensuring imported equipment meets Bangladesh regulatory requirements (DGDA registration, BSTI standards). Curalink manages the import licensing and customs clearance process but does not guarantee regulatory approval — final determination rests with Bangladesh authorities.
All content, trademarks, logos, and proprietary information on our website are owned by Curalink or our factory partners. Clients receive a limited, non-exclusive license to use equipment specifications and documentation solely for procurement evaluation and Bangladesh regulatory submission purposes. No rights to manufacturing processes or trade secrets are granted.
Both parties agree to maintain the confidentiality of proprietary information, pricing, client details, and trade secrets exchanged during the relationship. Confidentiality obligations survive termination of these Terms for a period of three (3) years.
TO THE MAXIMUM EXTENT PERMITTED BY BANGLADESH LAW, CURALINK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. CURALINK'S TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL SERVICE FEES PAID BY THE CLIENT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
This limitation does not apply to liability for personal injury caused by defective equipment where such liability cannot be excluded by applicable Bangladesh law.

These Terms remain in effect until terminated by either party with thirty (30) days written notice. Curalink may terminate immediately for material breach, non-payment, or regulatory violations. Surviving provisions: Confidentiality, Intellectual Property, Limitation of Liability, Indemnification.
These Terms are governed by the laws of the People's Republic of Bangladesh. Any disputes arising out of or in connection with these Terms shall be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to arbitration in Dhaka, Bangladesh, under the Arbitration Act, 2001. The language of arbitration shall be English.
These Terms, together with the Privacy Policy, constitute the entire agreement between the parties.
If any provision is found unenforceable under Bangladesh law, the remaining provisions remain in full force and effect.
Failure to enforce any right does not constitute a waiver of that right.
Client may not assign these Terms without Curlink's prior written consent. Curalink may assign its rights and obligations freely.
Notices shall be delivered via email to the addresses on file. Email notices are deemed received upon transmission.
